MEMBERSHIP AGREEMENT
This Membership Agreement (“Agreement”) is entered into by and between The Collaborative Collective (“Service Provider”) and the individual or entity purchasing a membership (“Member”).
By proceeding with payment, the Member confirms that they have read, understood and agree to be bound by the terms of the Agreement.
- Membership Access & Personal Responsibility
The Member understands that this membership is a self-directed. While resources, tools and guidance may be provided, the Member is solely responsible for their own implementation, progress, and results.
The Collaborative Collective is a professional development membership and does not confer formal accreditation, certification, or legal authority to practice Collaborative Law unless explicitly stated and supported by an external accrediting body.
- Payment Terms
Membership is billed on either an annual or a monthly basis (depending on the subscription purchased by the Member) at the applicable annual or monthly amount in AUD, commencing on the date of initial payment.
Payments are to be made by the due date indicated on the invoice or payment schedule.
- No Refunds
All payments made are non-refundable. This includes payments made in the event of a change of mind, inability to access materials, or dissatisfaction with results.
- Missed or Failed Payments
If a payment is missed or fails:
- The Member’s access to the membership portal, resources, and associated benefits will be immediately suspended.
- The Member must bring their account up to date before access will be reinstated.
- Continued non-payment may result in removal from the membership temporarily or permanently in the discretion of the Service Provider.
- Payments
Membership fees are inclusive of any applicable Goods and Services Tax (GST) unless otherwise stated. The Member is responsible for any tax obligations relevant to their own business operations.
- Overdue Payments & Interest Charges
If any invoice remains unpaid 5 business days past its due date, the Service Provider reserves the right to charge interest at a rate of 2.5 percent above the Consumer Price Index (CPI) as at that date on the outstanding balance.
Interest will continue to accrue daily until the full amount is paid.
- Termination
The Member may cancel their membership at any time by providing written notice prior to the next billing cycle. Cancellation will apply to future payments only; no partial or pro-rata refunds will be provided for the current billing cycle.
- Governing Law
This Agreement shall be governed by the laws of the State of Queensland, Australia, and any disputes arising under it shall be subject to the exclusive jurisdiction of its courts.
- Confidentiality
Members agree to respect the confidentiality of all member discussions, content and materials shared within the Collaborative Collective. These are provided for professional development and should not be distributed or repurposed without written consent.
This obligation extends beyond the duration of membership and survives termination. Content may not be copied, shared, or distributed without the express written permission of the Service Provider or the original author.
- Intellectual Property
All content, training materials, tools, templates, branding, and resources provided by the Service Provider are and remain the intellectual property of the Service Provider.
Members are granted a limited, non-exclusive, non-transferable licence to use these materials solely for their personal or professional development within the context of Collaborative Practice. No content may be reproduced, repackaged, or used for commercial purposes without prior written consent.
Any resources provided for download (e.g. templates, checklists, guides) are for personal or internal business use only. They may not be sold, redistributed, or modified for commercial purposes without express written consent from the Service Provider.
- Contribution of Co-Created Content
In collaborative projects, workshops, or working groups where members jointly develop content, tools, or resources, intellectual property rights in co-created materials will be agreed in writing. Where no agreement is made, the Service Provider retains the right to publish or adapt co-created materials for the benefit of the broader membership, with credit to contributors where appropriate.
- Limitation of Liability
To the extent permitted by law, the Service Provider shall not be liable for any direct, indirect, incidental, or consequential loss or damage arising from the use of, or inability to access, membership resources or services.
The Member is solely responsible for ensuring that their participation in the membership and use of its resources complies with the ethical, legal, and regulatory obligations of their profession or jurisdiction.
- Code of Conduct
Members are expected to engage in the community with professionalism, courtesy, and mutual respect.
The Service Provider reserves the right to suspend or terminate access without notice if a Member engages in behaviour that is deemed abusive, discriminatory, unethical, or disruptive to the collaborative culture of the Collaborative Collective.
- Modification of Terms
The Service Provider reserves the right to update or modify this Agreement at any time. Members will be notified of significant changes via email or platform notice.
Continued participation in the membership following any changes constitutes acceptance of the updated terms.
- Entire Agreement
This document constitutes the entire agreement between the parties. It supersedes all prior discussions, negotiations, and understandings relating to the membership.
- Technology and Access
The Service Provider makes reasonable efforts to ensure that the membership platform and resources are accessible and functioning. However, the Service Provider does not guarantee uninterrupted or error-free access.
Temporary interruptions (due to maintenance, technical issues, or upgrades) may occur, and the Service Provider shall not be liable for such disruptions.
- Guest Access and Substitution
Membership is personal and non-transferable. Members may not share login details or provide access to non-members without prior written consent.
On special occasions (e.g. open-invite networking events), the Service Provider may allow guest participation. These will be notified in advance and are subject to the Service Provider’s discretion.
- Pause Policy
Members may request to pause their membership (e.g. due to personal or professional leave) for up to one (1) month per calendar year. Requests must be made in writing and are subject to approval by the Service Provider.
During a pause, access to resources will be suspended and payments will be halted.
- Data Protection and Privacy
The Service Provider is committed to protecting the privacy and security of Member information. Any personal data collected will be used in accordance with applicable privacy laws and the Service Provider’s Privacy Policy.
By joining, the Member consents to their personal information being used for membership administration, communications, and service delivery purposes.
The Member agrees to take reasonable steps to protect their login credentials and device security. The Service Provider shall not be held responsible for unauthorised access resulting from the Member’s negligence or failure to maintain adequate digital security.
- Continuing Professional Development (CPD)
Some activities within the Collaborative Collective may be eligible for Continuing Professional Development (CPD) points. It is the responsibility of the Member to determine whether content complies with their relevant professional body’s CPD requirements and to maintain their own records of attendance or engagement.
- Transfer of Ownership
In the event that the Collaborative Collective is sold, merged, or transferred to another owner or entity, this Agreement shall continue to apply and membership obligations and access will continue under the new ownership.
- Suspension for Misuse or Misconduct
The Service Provider reserves the right to suspend or terminate a Member’s access without notice if there is reasonable belief that the Member is misusing the platform, infringing on intellectual property, violating the Code of Conduct, or otherwise engaging in conduct detrimental to the Collaborative Collective’s values.
If a Member’s access is terminated for breach of this Agreement, re-enrolment in the membership is subject to review and written approval by the Service Provider. The Service Provider reserves the right to deny future participation.
- Severability
If any provision of this Agreement is held to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.
- Guest Experts and Third-Party Content
The Service Provider may engage guest presenters, coaches, or contributors to provide specialist content. The views and opinions expressed by guest experts are their own and do not necessarily reflect the views of the Service Provider. The Service Provider is not liable for any loss arising from reliance on such content.
- Group Learning Environment Disclaimer
The membership may include live group calls, forums, or collaboration spaces. While these are moderated, the Service Provider is not responsible for the accuracy of any peer advice, commentary, or shared experience and encourages Members to use discretion and seek independent legal or professional guidance where needed.
- Membership Review and Renewal
The Service Provider may conduct annual reviews of the membership program. Members will be notified of any changes in pricing, access, or terms at least 30 days in advance of renewal, where applicable. Foundation Members will have access to their foundation member pricing for as long as they remain Members of the Collaborative Collective.
- Public Register Eligibility and Professional Qualifications
Inclusion on the public-facing Membership register (“Register”) is available only to Members who:
- Hold and maintain the necessary professional qualifications, accreditations, registrations, or licences required to lawfully practise in their profession; and
- Meet any professional role-specific requirements determined by the Service Provider (for example holding and maintaining an unrestricted practising certificate for lawyers, membership of a recognised professional accounting body for accountants, licencing and registration for a financial adviser, registration with AHPRA or other recognised industry body for psychologists, counsellors or social workers, or accreditation/training as a mediator etc)
The annual fee for inclusion on the Register is free for Foundation or annual Members, and will be charged separately to monthly Members (and non-members).
Before initial listing on the Register and upon each renewal, Members must provide satisfactory evidence of their current professional status. Acceptable evidence may include (as applicable):
- A copy of a current practising certificate;
- Proof of membership of or registration in a relevant professional association;
- Verification of registration with a statutory body or regulator;
- Any other evidence the Service Provider considers necessary.
The Service Provider reserves the right to verify the authenticity of any documents provided and to conduct audits at any time to confirm ongoing compliance. Failure to respond to a verification request within the specified timeframe may result in suspension or removal from the Register.
The Service Provider may refuse, suspend, or permanently remove a Member from the Register at any time, without prior notice, if the Member:
- Fails to maintain required professional qualifications;
- Is found guilty of professional misconduct, or unsatisfactory professional conduct by a disciplinary body;
- Has had their professional qualification or practicing certificate, licence or registration cancelled or suspended;
- Provides false, misleading, or incomplete information;
- Engages in conduct inconsistent with the values, reputation, or objectives of the Collaborative Collective.
Removal from the Register does not affect the Member’s general membership status unless otherwise determined by the Service Provider.
Members are solely responsible for ensuring their professional qualifications remain current and valid. Members have the sole responsibility to ensure their details are correct and must update them with the Service Provider if they change. The Service Provider accepts no liability for any loss, damage, or claim arising from a Member’s failure to maintain the qualifications required for their profession or for their failure to keep their details on the Register up to date.
